We are seeking for a Saudi Governance Specialist to support the Company's governance framework, Board of Directors, and compliance with (CMA) regulations. The role will ensure effective governance practices, regulatory compliance, Board administration, and coordination with internal stakeholders.

Key Responsibilities

• Prepare, draft, review, and coordinate the submission of CMA disclosure forms, regulatory announcements, and ongoing disclosure obligations in coordination with relevant departments, ensuring full compliance with (CMA) and Tadawul requirements.

• Support the implementation and continuous improvement of the Company's Corporate Governance Framework, policies, and governance practices.

• Coordinate Board and Committee meetings, agendas, minutes, and resolutions.

• Maintain governance policies, Board charters, Delegation of Authority, and governance documentation.

• Monitor compliance with Corporate Governance Regulations, Companies Law, CMA requirements, and Tadawul Listing Rules.

• Track Board resolutions and governance action plans.

• Coordinate with Internal Audit, Risk, Compliance, and Legal departments on governance initiatives.

• Prepare governance reports, Board reports, and governance dashboards for management and the Board

• Ensure confidentiality and proper handling of sensitive corporate information.

Requirements

• Bachelor's degree in business administration, Law, Governance, Finance, or a related field.

• 2-4 years of experience in Corporate Governance, Board Secretariat, Compliance, or Legal Affairs.

• Previous experience in a listed company (Tadawul, TASI or Nomo) is required.

• Strong knowledge of CMA Corporate Governance Regulations, Companies Law, Tadawul Listing Rules, and regulatory disclosure requirements.

• Excellent communication, documentation, and stakeholder management skills.

Preferred Qualifications

• CME certification is preferred.

• IFSAH certificate is required

• Professional certification in Corporate Governance or Compliance is an advantage.
