Job Purpose
Ensure that best practices and standards of corporate governance are applied to achieve transparency, accountability, and operational efficiency across the Company. Establish and maintain an effective governance framework that ensures compliance with applicable laws and regulations, promotes transparency in decision-making, and supports the Company in achieving its strategic objectives responsibly and sustainably.
Key Responsibilities
- Develop and implement internal policies and procedures that support effective corporate governance practices.
- Review and update governance policies regularly to ensure alignment with changes in applicable laws, regulations, and industry requirements.
- Develop strategies to identify and mitigate risks associated with corporate governance.
- Recommend enhancements to governance frameworks and strategies to improve the Company’s overall performance and effectiveness.
- Ensure decision-making processes are transparent, documented, and traceable.
- Establish and maintain a clear accountability framework, ensuring commitment from Board members and employees.
- Assess governance-related risks, including conflicts of interest, ethical concerns, and policy non-compliance.
- Measure governance effectiveness through the development and monitoring of key performance indicators (KPIs).
- Prepare and submit periodic governance reports to the Board, highlighting governance status, key challenges, risks, and opportunities for improvement.
- Provide accurate and timely information regarding the Company’s performance and adherence to governance frameworks, fostering trust and confidence among stakeholders.
- Build and strengthen relationships with external advisors, regulators, and stakeholders to ensure governance practices align with recognized best practices.
- Coordinate with internal audit functions to ensure regular reviews of processes and compliance with approved policies and procedures.
- Evaluate the effectiveness of the current governance framework and identify opportunities for continuous improvement.
- Monitor emerging governance standards, regulatory developments, and industry best practices, ensuring their implementation where appropriate.
- Promote awareness among employees and management regarding the importance of corporate governance and its contribution to organizational performance and sustainability.
- Ensure compliance with all applicable local laws, regulations, and industry-specific requirements.
- Collaborate with relevant regulatory authorities and external bodies to maintain full compliance with legal and regulatory obligations.
- Ensure all departments and employees adhere to approved governance policies, procedures, and ethical standards.
- Lead, motivate, and develop team members while fostering a positive and high-performance work environment.
- Ensure the provision of training and development programs for employees to enhance their knowledge, skills, and capabilities, supporting organizational effectiveness and operational excellence.
- Monitor team performance regularly, providing guidance, coaching, and support to ensure departmental objectives are achieved.
- Prepare and submit periodic departmental performance reports to senior management, outlining achievements, challenges, risks, and required support to facilitate informed decision-making.
Qualifications
- Bachelor's degree in Business Administration, Corporate Governance, Law, Finance, or a related field.
