المهام والمسؤوليات
- فهم المبادئ القانونية والإجرائية في قانون العقود.
- صياغة بنود عقود دقيقة تعكس نية الأطراف.
- الاحتفاظ بسجلات المفاوضات للحفاظ على الأدلة القانونية.
- تحليل هياكل العقود المعقدة (مثل المشاريع المشتركة، الشركات ذات الأغراض الخاصة، الاتحادات) وتحديد المخاطر والفرص.
- التعامل مع أنواع مختلفة من العقود عبر الأنظمة القانونية (القانون المدني/العام، العقود العامة/الخاصة).
- وضع أفضل الممارسات للمطالبات التعاقدية والتغييرات وحفظ السجلات.
- تنفيذ أدوات إدارة العقود والمطالبات.
- إدارة التغييرات والمطالبات والنزاعات وضمان حلول عادلة.

- تنسيق مراقبة أداء العقد مع فرق المشروع.
- فهم الجدولة الزمنية والمسار الحرج في تنفيذ المشروع.
- إدارة المشاريع الداخلية المتعلقة بالعقود باستخدام مبادئ إدارة المشاريع.
- تحديد سير عمل إدارة العقود ومؤشرات الأداء الرئيسية ومقاييس الحوكمة.
- تقديم رؤى تعاقدية طوال دورة حياة العطاء.
- إدارة عقود الموردين واتفاقيات المقاولين من الباطن.
- تقديم المشورة للفرق بشأن تدفق العقود وإدارة مخاطر الموردين.
- مواءمة إدارة العقود الرئيسية مع استراتيجيات المشتريات.
- تنفيذ استراتيجيات إدارة التغيير في العمليات التعاقدية.
- التواصل الفعال للتغييرات التنظيمية.

- ضمان سلامتك وسلامة الآخرين في جميع الأوقات.
- المحافظة على دور فعال في تحقيق أهداف سياسة HSE الخاصة بـ Thales.
- الامتثال لقوانين HSE المحلية.
- استخدام معدات السلامة (بما في ذلك PPE) حسب المطلوب.
- القيادة بالقدوة وتشجيع الإدارات على ترشيد استهلاك الماء والطاقة وتقليل النفايات وتشجيع إعادة التدوير.

الشروط والمتطلبات
- خبرة لا تقل عن 5 سنوات في مجال ذي صلة في الإدارة القانونية والعقود والتجارة في بيئة دولية مع التعامل مع عقود FIDIC وعقود المشتريات العامة وقوانين الشركات والامتثال التجاري.
- خبرة عملية في الأنظمة القانونية السعودية والقانون المدني والقانون العام والممارسات القانونية المقارنة والتعرض لبيئة قانونية في الشرق الأوسط.
- درجة البكالوريوس أو الماجستير في القانون (قانون خاص، قانون تجاري، قانون شركات) أو إدارة الأعمال أو الهندسة أو ما يعادلها.
المهارات المطلوبة
- إجادة اللغة الإنجليزية (كتابة وتحدث).
- فهم قوي لعقود FIDIC وعقود المشتريات العامة وقوانين الشركات والامتثال التجاري.
- معرفة الأنظمة القانونية السعودية والقانون المدني والقانون العام.
- صياغة العقود والتفاوض وإدارة العقود.
- القدرة على ضمان التماسك بين الوثائق التعاقدية (الشروط والأحكام، نطاق العمل، المواصفات).
- خبرة في العقود مع الجهات الحكومية وشبه الحكومية.
- الإلمام بالأطر التنظيمية: مراقبة الصادرات، السياسات البيئية والصحية والأمنية.

- Contract Law & Contract Drafting
- Understanding legal principles and procedural rules in contract law.

WORK EXPERIENCE REQUIREMENTS
- +5 years of relevant experience in In-house Legal, contracts and commercial management in international environment with exposure to FIDIC contracts, Public Procurement contracts, Corporate Laws and Trade compliance.
- Practical experience in KSA legal systems and Laws, Civil Law and Common law and comparative legal practices and exposure to Middle East legal environment
- Bachelor or Master Degree in laws (Private Law, Commercial Law, Corporate Law) or in Business administration, engineering or similar.
- Proficiency in English (written & verbal)
- Strong understanding of FIDIC contracts, Public Procurement contracts, Corporate Laws, and Trade Compliance
- Knowledge of KSA legal systems, Civil Law, Common Law
- Contract drafting, negotiation, and management
- Ability to ensure coherence between contractual documents (T&Cs, scope of work, specifications)
- Experience with contracts involving government and semi-government organizations
- Awareness of regulatory frameworks: export control, environmental, health & security policies
- Financial and risk assessment skills (cost estimates, price revisions, contingencies, taxes)
- Understanding of project management and contract lifecycle processes
- Ability to manage disputes, litigation, and legal resolutions
- Ensure both your own safety and the safety of others at all times.
- Maintain an active role in achieving the objectives and adhering to the HSE Thales Policy
- Comply with local HSE laws and legislation.
