Role Summary
The job holder is responsible for supporting contract drafting, review, execution, and coordination with stakeholders, ensuring compliance and follow-up on contract performance and risks to ensure controlled and compliant contract management that supports NHCI’s objectives.
Functional Accountabilities
- Collect legal and contractual requirements by reviewing applicable laws, procurement objectives, and contractual categories, and identifying compliance gaps and risk exposures.
- Research and analyze relevant laws, regulations, and contractual frameworks to support the development and improvement of contract governance standards.
- Assist in developing and updating standardized contract drafting guidelines, approval workflows, and governance checkpoints to ensure consistency in contract processes.
- Implement standard contract templates (e.g., NDAs, SLAs) incorporating approved clauses, risk mitigation terms, and compliance requirements.
- Execute contract drafting, negotiation, and structuring of agreements such as MoUs and service contracts in line with approved legal and contractual standards.
- Perform detailed review of third-party contract drafts against internal templates, identifying deviations, assessing risks, and recommending required amendments.
- Support validation of contractual compliance prior to execution, ensuring regulatory requirements, proper authorization, and complete documentation.
- Coordinate contract lifecycle activities including renewals, extensions, amendments, and terminations to ensure continuity and compliance.
- Follow up on contract execution milestones, obligations, and deliverables to ensure adherence to agreed terms and timelines.
- Assist in conducting legal and contractual reviews for renewals and terminations, including assessment of liabilities, risks, and compliance obligations.
- Implement contract repository management activities to ensure accurate documentation, indexing, storage, and retrieval of agreements.
- Support tracking and monitoring of contractual risks, obligations, and deadlines, maintaining updated risk registers for governance purposes.
- Coordinate updates to contract templates, policies, procedures, and standard clauses based on regulatory changes and operational feedback.
- Perform support activities for internal and external audits related to contracts, ensuring documentation completeness and compliance readiness.
- Follow up on implementation of contract governance decisions, corrective actions, and improvement initiatives.
- Assist in preparing contract-related reports, summaries, and updates for internal stakeholders and management review.
- Coordinate with internal departments such as Procurement, Finance, Compliance, and Legal to obtain required inputs for contract execution.
- Support identification of recurring contract issues and contribute to continuous improvement initiatives in contract management processes.
- Follow up on contract performance indicators and highlight deviations or risks requiring attention.
JOB REQUIREMENTS:
- Bachelor’s degree in Law, Commercial Law, Corporate Law, International Business Law, or any related field is required
- 2-4 years of relevant experience
- Certifications in legal licensure (Saudi law license or bar admission)
