تعلن شركة Alnafitha International for Information Technology، إحدى الشركات السعودية الرائدة والمملوكة بالكامل في مجال تقديم حلول وخدمات تقنية المعلومات، عن توفر وظيفة (Legal & Contracts Specialist) في مدينة الرياض.
المهام والمسؤوليات
- تقديم المشورة القانونية والآراء للإدارة العليا والإدارات المختلفة بشأن مجموعة واسعة من المسائل القانونية والتجارية.
- حماية الموقف القانوني للشركة وتحديد وتقييم وتخفيف المخاطر القانونية والتنظيمية والتعاقدية بشكل استباقي.
- ضمان امتثال العقود والاتفاقيات والسياسات والإجراءات الداخلية للقوانين واللوائح السعودية المعمول بها، بما في ذلك نظام الشركات، ونظام العمل، ونظام المعاملات المدنية، ونظام المنافسات والمشتريات الحكومية.
- صياغة ومراجعة والتفاوض وتقديم المشورة بشأن الاتفاقيات التجارية، بما يشمل عقود العملاء والموردين والشراكات والتوزيع والخدمات واتفاقيات عدم الإفصاح (NDA) واتفاقيات مستوى الخدمة (SLA) وغيرها من العقود المتعلقة بالأعمال.
- مراجعة وتقييم البنود التعاقدية عالية المخاطر، مثل تحديد المسؤولية والتعويضات والضمانات والغرامات والفسخ والقانون الحاكم وبنود تسوية المنازعات، واقتراح البدائل المناسبة.
- التنسيق مع إدارات المبيعات والمشتريات والمالية والموارد البشرية وغيرها أثناء المفاوضات التعاقدية وتقديم التوجيه القانوني طوال عملية التعاقد.
- تطوير وصيانة وتحديث نماذج العقود القياسية والنماذج القانونية والوثائق ذات الصلة بشكل دوري.
- الحفاظ على سجل تعاقدي فعّال ومتابعة حالة العقود وتواريخ التجديد والانتهاء والالتزامات والمعالم التعاقدية الرئيسية.
- مراجعة عقود العمل وسياسات الموارد البشرية واللوائح الداخلية وغيرها من الوثائق المتعلقة بالتوظيف بالتنسيق مع إدارة الموارد البشرية.
- تقديم الدعم القانوني في النزاعات العمالية والقضايا، بما في ذلك إعداد الردود القانونية ومذكرات الدفاع والوثائق المطلوبة.
- تمثيل الشركة أمام المحاكم والجهات الحكومية والهيئات شبه القضائية، حيثما يسمح القانون بذلك، أو التنسيق والإشراف على المستشارين القانونيين الخارجيين.
- إعداد ومراجعة وثائق الحوكمة المؤسسية، بما في ذلك محاضر الجمعية العامة وقرارات مجلس الإدارة والتوكيلات والسجلات المؤسسية الأخرى.
- مراقبة التغييرات والتطورات في القوانين واللوائح السعودية وتقييم أثرها المحتمل على أعمال الشركة وعملياتها.
- إبلاغ الإدارة والإدارات المعنية بالتحديثات القانونية والتنظيمية ذات الصلة والتوصية بالإجراءات المناسبة.
- دعم الشركة في المناقصات الحكومية ومسائل المشتريات من خلال مراجعة المتطلبات القانونية والشروط التعاقدية والالتزامات المتعلقة بالمناقصات.
- الحفاظ على التوثيق والسجلات القانونية السليمة وضمان سرية المعلومات القانونية والمؤسسية الحساسة.
- أداء أي مهام ومسؤوليات قانونية أخرى يكلف بها من قبل المدير المباشر.
الشروط والمتطلبات
- درجة البكالوريوس في القانون أو الشريعة والقانون من جامعة معترف بها.
- خبرة قانونية من 3 إلى 5 سنوات في مجال ذي صلة، ويفضل أن تكون في بيئة مؤسسية أو تجارية أو في قطاع تقنية المعلومات.
- خبرة قوية في صياغة ومراجعة والتفاوض على العقود التجارية.
- معرفة عملية بالقوانين واللوائح السعودية المعمول بها، لا سيما: نظام الشركات، ونظام العمل، ونظام المعاملات المدنية، ونظام المنافسات والمشتريات الحكومية، واللوائح التجارية والتعاقدية.
- خبرة في التعامل مع الدعاوى القضائية أو التنسيق فيها وقضايا العمل وتسوية المنازعات (يفضل).
- خبرة في الحوكمة المؤسسية والامتثال القانوني (ميزة إضافية).
- ترخيص مزاولة المحاماة من وزارة العدل السعودية (يفضل).
- إتقان قوي للغتين العربية والإنجليزية، مع القدرة على صياغة والتفاوض على المستندات القانونية بكلتا اللغتين.
- مهارات تحليلية وتفاوضية وتواصلية قوية وحل المشكلات.
- درجة عالية من الاهتمام بالتفاصيل والقدرة على إدارة العديد من المسائل القانونية والمواعيد النهائية.

Job Summary/Objective
The Legal Counsel will provide comprehensive legal support to the company, with a primary focus on commercial contracts, regulatory compliance, corporate governance, employment matters, and dispute management.
The role is responsible for protecting the company’s legal interests, identifying and mitigating legal and contractual risks, and ensuring that business operations comply with the applicable laws and regulations of the Kingdom of Saudi Arabia.
Key Responsibilities
- Provide legal advice and opinions to senior management and business functions on a wide range of legal and commercial matters.
- Protect the company’s legal position and proactively identify, assess, and mitigate legal, regulatory, and contractual risks.
- Ensure contracts, agreements, policies, and internal procedures comply with applicable Saudi laws and regulations, including the Companies Law, Labor Law, Civil Transactions Law, and Government Tenders and Procurement Law.
- Draft, review, negotiate, and advise on commercial agreements, including customer, supplier, partnership, distribution, service, NDA, SLA, and other business-related contracts.
- Review and assess high-risk contractual provisions, including limitation of liability, indemnities, warranties, penalties, termination, governing law, and dispute resolution clauses, and recommend appropriate alternatives.
- Coordinate with Sales, Procurement, Finance, HR, and other departments during contract negotiations and provide legal guidance throughout the contracting process.
- Develop, maintain, and periodically update standard contract templates, legal forms, and related documentation.
- Maintain an effective contracts register and monitor contract status, renewal dates, expiry dates, obligations, and key contractual milestones.
- Review employment contracts, HR policies, internal regulations, and other employment-related documentation in coordination with Human Resources.
- Provide legal support on labor disputes and cases, including preparing legal responses, statements of defense, and required documentation.
- Represent the company before courts, government authorities, and quasi-judicial bodies, where legally permitted, or coordinate and supervise external legal counsel.
- Prepare and review corporate governance documents, including General Assembly minutes, Board resolutions, powers of attorney, and other corporate records.
- Monitor changes and developments in Saudi laws and regulations and assess their potential impact on the company’s business and operations.
- Communicate relevant legal and regulatory updates to management and concerned departments and recommend appropriate actions.
- Support the company in government tenders and procurement matters by reviewing tender-related legal requirements, contractual terms, and obligations.
- Maintain proper legal documentation and records and ensure confidentiality of sensitive legal and corporate information.
- Perform any other legal duties and responsibilities assigned by the direct manager.
Qualifications & Experience
- Bachelor’s degree in Law or Sharia and Law from a recognized university.
- 3-5 years of relevant legal experience, preferably within a corporate, commercial, or IT environment.
- Strong experience in commercial contract drafting, review, and negotiation.
- Practical knowledge of applicable Saudi laws and regulations, particularly:
- Companies Law
- Labor Law
- Civil Transactions Law
- Government Tenders and Procurement Law
- Commercial and contractual regulations
- Experience in handling or coordinating litigation, labor cases, and dispute resolution is preferred.
- Experience in corporate governance and legal compliance is an advantage.
- Saudi Ministry of Justice legal practice license is preferred.
- Strong command of Arabic and English, with the ability to draft and negotiate legal documents in both languages.
- Strong analytical, negotiation, communication, and problem-solving skills.
- High level of attention to detail and ability to manage multiple legal matters and deadlines.
