نبذة عن الوظيفة
يتولى شاغل الوظيفة مسؤولية تقديم الخبرات القانونية والتنظيمية العليا عبر عمليات الشركة وعقودها ومسائلها المؤسسية والمعاملات الاستراتيجية، بما يحمي المصالح القانونية والتجارية. يدير المسائل القانونية المعقدة والنزاعات والتفاعلات التنظيمية، ويقيّم المخاطر القانونية والتنظيمية ويقدم التوصيات للإدارة. كما يحافظ على engagement فعال مع الجهات التنظيمية ويضمن التوافق مع إدارة الشؤون القانونية والتنظيمية لمجموعة stc والامتثال الداخلي وأصحاب المصلحة المعنيين.
المهام والمسؤوليات
- قيادة تطبيق وتعزيز الممارسات القانونية والتنظيمية عبر عمليات الشركة وأنشطتها الاستراتيجية، مع ضمان التوافق مع المتطلبات القانونية والتنظيمية والتعاقدية.
- قيادة الصياغة والمراجعة والتفاوض على العقود والاتفاقيات مع العملاء والموردين والشركاء والجهات التنظيمية والحكومية لحماية المصالح القانونية والتجارية.
- تقديم الاستشارات القانونية العليا في المسائل المؤسسية والتجارية والتوظيفية والمعاملات المعقدة، وتقييم التعرض القانوني والتوصية بإجراءات تخفيف المخاطر.
- إدارة النزاعات والدعاوى والتحكيم والإجراءات التنظيمية المعقدة، بالتنسيق مع أصحاب المصلحة والمستشارين القانونيين الخارجيين لحماية مصالح الشركة.
- قيادة العناية القانونية الواجبة وتقديم المشورة القانونية المتخصصة بشأن عمليات الاندماج والاستحواذ والمشاريع المشتركة والشراكات والاستثمارات الاستراتيجية.
- تحليل التطورات التنظيمية الهامة في قطاعي الاتصالات والتقنية، وتقييم أثرها المحتمل على الأعمال والتوصية بالإجراءات القانونية والتنظيمية اللازمة.
- قيادة التفاعلات التنظيمية والمشاورات والمراسلات الرسمية والتقديمات للجهات المختصة وصنّاع السياسات، مع ضمان تمثيل مصالح الشركة بشكل مناسب.
- دفع التوافق مع إدارة الشؤون القانونية والتنظيمية لمجموعة stc والتنسيق مع الامتثال الداخلي وأصحاب المصلحة لضمان تطبيق المتطلبات التنظيمية ومعايير الحوكمة.
- تقديم التوصيات القانونية والتنظيمية للإدارة بشأن المخاطر الناشئة والمسائل المعقدة والتطورات التي قد تؤثر على عمليات الشركة أو أهدافها الاستراتيجية.
الشروط والمتطلبات
- درجة البكالوريوس في القانون أو إدارة الأعمال أو أي مجال ذي صلة (يفضل).
- خبرة لا تقل عن 6 سنوات في مجال ذي صلة.
- إجادة اللغة الإنجليزية بمستوى طلاقة.

Job Purpose
The role holder is responsible for providing senior legal and regulatory expertise across Specialized’s operations, contracts, corporate matters, and strategic transactions to safeguard the company’s legal and commercial interests. The role manages complex legal matters, disputes, and regulatory engagements, while assessing legal and regulatory risks and providing recommendations to management. The role also maintains effective engagement with regulatory authorities and ensures alignment with stc Group Legal & Regulatory Affairs, internal Compliance, and relevant stakeholders. The role holder shall carry out their duties in accordance with the stipulated business policies and procedures.

Key Functional Accountability
- Drive the implementation and continuous enhancement of legal and regulatory practices across Specialized’s operations and strategic activities, ensuring alignment with applicable legal, regulatory, and contractual requirements.
- Lead complex drafting, review, and negotiation of contracts and agreements with clients, vendors, partners, regulators, and governmental entities to safeguard Specialized’s legal and commercial interests.
- Provide senior legal advisory on complex corporate, commercial, employment, and transactional matters, assess legal exposure, and recommend appropriate risk mitigation actions.
- Manage complex disputes, litigation, arbitration, and regulatory proceedings, coordinating with relevant stakeholders and external legal counsel to protect Specialized’s interests.
- Lead legal due diligence and provide expert legal advice on mergers, acquisitions, joint ventures, partnerships, and strategic investments.
- Analyze significant regulatory developments within the telecommunications and technology sectors, assess their potential business impact, and recommend required legal and regulatory actions.
- Lead regulatory engagements, consultations, official communications, and filings with relevant authorities and policy makers, ensuring Specialized’s interests are appropriately represented.
- Drive alignment with stc Group Legal & Regulatory Affairs and coordinate with internal Compliance and relevant stakeholders to ensure effective implementation of regulatory requirements and governance standards.
- Provide legal and regulatory recommendations to management on emerging risks, complex matters, and developments that may impact Specialized’s operations or strategic objectives.
