نبذة عن الوظيفة

تهدف الشركة إلى أن تكون الوجهة الشاملة لجميع احتياجات الرعاية الصحية، وتقديم مجموعة واسعة من المنتجات والخدمات مع التركيز على الجودة ورضا العملاء. يشغل هذا المنصب مسؤولية تطوير وتنفيذ إطار الامتثال للمجموعة، وضمان تعريف المتطلبات التنظيمية والسياسات الداخلية ومعايير الحوكمة ومراقبتها وإدارتها بفعالية. يعمل المشرف بشكل وثيق مع الإدارات القانونية والتدقيق الداخلي والمخاطر والمالية والموارد البشرية وتقنية المعلومات والعمليات والجهات الأخرى ذات الصلة لتعزيز الوعي بالامتثال وتخفيف المخاطر التنظيمية وتقديم تقارير امتثال مستقلة للإدارة العليا.

المهام والمسؤوليات

  • تأسيس وظيفة الامتثال ونموذج التشغيل والسياسات والإجراءات والخطة السنوية للامتثال.
  • تطوير وصيانة سجل شامل للقوانين واللوائح والتراخيص والتزامات الامتثال السارية.
  • إجراء تقييمات مخاطر الامتثال عبر الصيدليات بالتجزئة، توزيع المستحضرات الدوائية، الوظائف المؤسسية، التقنية، وعلاقات الأطراف الثالثة.
  • مراقبة الامتثال للمتطلبات الصادرة عن الجهات السعودية المختصة، بما في ذلك أنظمة الرعاية الصحية والدوائية والتجارية والعمل وحماية البيانات والمنافسة.
  • تطوير وصيانة سياسات تغطي تضارب المصالح والهدايا والضيافة ومكافحة الرشوة والفساد ومعاملات الأطراف ذات العلاقة والسرية وحماية البيانات وسلوك الأطراف الثالثة.
  • إنشاء عمليات فعالة لمراقبة الامتثال والإبلاغ عن المخالفات والتحقيق والتصعيد والتصحيح.
  • تنفيذ وإدارة إطار التبليغ عن المخالفات (Whistleblowing) بالتنسيق مع الجهات الحوكمة ذات الصلة.
  • مراجعة العقود الجوهرية والمبادرات التجارية والمنصات الرقمية والعروض الترويجية وترتيبات الأطراف الثالثة من منظور مخاطر الامتثال.
  • تقديم برامج التوعية والتدريب على الامتثال في جميع أنحاء المجموعة.
  • الحفاظ على أدلة موثقة بشكل مناسب لمراجعات الامتثال والانتهاكات والإجراءات التصحيحية وردود الإدارة.
  • إعداد وتقديم تقارير امتثال دورية مستقلة للإدارة العليا ولجنة مجلس الإدارة المختصة.
  • التنسيق مع الإدارات القانونية والتدقيق الداخلي والمخاطر والمالية والموارد البشرية وتقنية المعلومات والعمليات والجهات التنظيمية الخارجية ذات الصلة.
  • تعزيز ثقافة يتم فيها دمج الامتثال في صنع القرارات التشغيلية والممارسات والمساءلة.
  • مراقبة التطورات التنظيمية الناشئة وتقييم تأثيرها المحتمل على عمليات وأنشطة المجموعة.

الشروط والمتطلبات

  • درجة البكالوريوس في القانون، إدارة الأعمال، المالية، المحاسبة، الحوكمة، المخاطر أو تخصص ذي صلة.
  • شهادة مهنية معتمدة في الامتثال، الحوكمة، المخاطر، مكافحة غسل الأموال، التدقيق الداخلي أو مجال ذي صلة (يفضل).
  • خبرة لا تقل عن 5 سنوات في مجال ذي صلة، بما في ذلك خبرة عملية في تأسيس أو تطوير أو إدارة وظيفة الامتثال.
  • خبرة في قطاع الرعاية الصحية، الصيدليات بالتجزئة، توزيع المستحضرات الدوائية أو أي قطاع منظم آخر (يفضل بشدة).
  • معرفة قوية بالمتطلبات التنظيمية السعودية وممارسات حوكمة الشركات.
  • قدرة مثبتة على تطوير السياسات والإجراءات، وإجراء تقييمات مخاطر الامتثال، والتحقيق في مسائل الامتثال، وإعداد تقارير على المستوى التنفيذي.
  • فهم قوي لمخاطر الامتثال والضوابط الداخلية وأطر الحوكمة ومراقبة الامتثال.

Position Overview:

Own the development and implementation of the Group’s Compliance framework, ensuring that applicable regulatory requirements, internal policies, governance standards, and compliance obligations are clearly defined, monitored, and effectively managed.

The role will work closely with Legal, Internal Audit, Risk, Finance, HR, IT, Operations, and other relevant functions to strengthen compliance awareness, identify and mitigate regulatory risks, and provide independent and reliable compliance reporting to senior management and the relevant governance bodies.

Responsibilities:

  • Establish the Compliance function, operating model, policies, procedures, and annual compliance plan.
  • Develop and maintain a comprehensive register of applicable laws, regulations, licences, and compliance obligations.
  • Conduct compliance risk assessments across retail pharmacy, pharmaceutical distribution, corporate functions, technology, and third-party relationships.
  • Monitor compliance with applicable requirements issued by competent Saudi authorities, including healthcare, pharmaceutical, commercial, labour, data protection, and competition regulations.
  • Develop and maintain policies covering conflicts of interest, gifts and hospitality, anti-bribery and corruption, related-party dealings, confidentiality, data protection, and third-party conduct.
  • Establish effective compliance monitoring, incident reporting, investigation, escalation, and remediation processes.
  • Implement and manage the Group’s whistleblowing framework in coordination with the relevant governance bodies.
  • Review material contracts, business initiatives, digital platforms, promotions, and third-party arrangements from a compliance-risk perspective.
  • Deliver compliance awareness and training programmes across the Group.
  • Maintain appropriate and documented evidence of compliance reviews, breaches, corrective actions, and management responses.
  • Prepare and submit periodic independent compliance reports to senior management and the relevant Board committee.
  • Coordinate with Legal, Internal Audit, Risk, Finance, HR, IT, Operations, and relevant external regulatory authorities.
  • Promote a culture in which compliance is embedded in business decision-making, operational practices, and accountability.
  • Monitor emerging regulatory developments and assess their potential impact on the Group’s operations and business activities.

Requirements:

  • Bachelor’s degree in law, Business Administration, Finance, Accounting, Governance, Risk, or a related discipline.
  • Relevant professional certification in Compliance, Governance, Risk, AML, Internal Audit, or a related field is preferred.
  • Minimum of 5 years of relevant experience, including practical experience in establishing, developing, or managing a compliance function.
  • Experience in healthcare, pharmaceutical retail, pharmaceutical distribution, or another regulated sector is strongly preferred.
  • Strong knowledge of Saudi regulatory requirements and corporate governance practices.
  • Proven ability to develop policies and procedures, conduct compliance risk assessments, investigate compliance matters, and prepare executive-level reports.
  • Strong understanding of regulatory risk, internal controls, governance frameworks, and compliance monitoring.
  • High professional integrity, sound judgement, independence, and confidence in escalating material compliance concerns.
  • Strong stakeholder management, communication, analytical, and problem-solving capabilities.
  • Strong written and verbal communication skills in both Arabic and English.

Key Success Measures:

  • Successful establishment and operationalization of the Group Compliance function.
  • Effective implementation of the Compliance operating model, policies, procedures, and annual compliance plan.
  • Clear and up-to-date identification and monitoring of applicable regulatory and compliance obligations.
  • Timely identification, escalation, and remediation of material compliance risks and incidents.
  • Improved compliance awareness and adherence across business functions.
  • Effective implementation and governance of the whistleblowing framework.
  • Timely and accurate compliance reporting to senior management and relevant governance bodies.
