Sanabil Studio هو منشئ مشاريع يدمج الخبرات الصناعية والتقنية ومعرفة الشركات الناشئة لتحويل الأفكار الجريئة إلى أعمال حقيقية. يبحث الفريق المؤسس لمشروع Makan (نظام تملك بالتأجير في السعودية) عن شريك مؤسس وقائد لرأس المال والمالية (Co-Founder & Capital & Finance Lead) ليكون مسؤولاً عن جمع وترتيب التمويل، وبناء النموذج المالي، وإدارة علاقات المستثمرين من خطاب النية حتى التوقيع. الموقع: الرياض، السعودية.
المهام والمسؤوليات
- جمع وترتيب تمويل الديون وحقوق الملكية من شركاء التمويل.
- امتلاك النموذج المالي بالكامل: حساب العائد على الاستثمار وهيكلة رأس المال المطلوب للمشروع.
- هيكلة أوراق الشروط (Term Sheets)، وتسلسل التوزيعات (Waterfalls)، واقتصاديات الرسوم مع المستثمرين المؤسسيين أو مكاتب العائلات أو الشركاء المحدودين (LPs).
- إدارة علاقات المستثمرين: الترويج والتفاوض وإغلاق شركاء رأس المال من خطاب النية حتى الالتزام الموقّع.
- امتلاك المسار التنظيمي والصناديق: من شركة ذات غرض خاص (SPV) إلى صندوق مرخّص من هيئة السوق المالية (CMA)، وكل تقارير المستثمرين.
- المساعدة في تحديد وتنفيذ استراتيجية الدخول إلى السوق واستراتيجية رأس المال إلى جانب الشريك المؤسس.
- تمثيل المشروع أمام لجنة الاستثمار في Sanabil Studio والمستثمرين المؤسسيين.
- استقطاب وقيادة الفريق المؤسس لمشروع Makan عبر وظائف التجارة والعمليات والمنتج.
الشروط والمتطلبات
- خبرة في جمع تمويل الديون و/أو حقوق الملكية للصناديق أو الشركات ذات الغرض الخاص أو الأدوات المدعومة بأصول عقارية، كمدير صندوق أو مصرفي استثماري أو محترف أسواق رأس مال.
- خبرة شخصية في هيكلة ورقة شروط أو تسلسل توزيعات أو اقتصاديات رسوم لمستثمر مؤسسي أو مكتب عائلي أو شريك محدود.
- فهم كيفية تقييم مكاتب العائلات وأسواق رأس المال والبنوك السعودية للأوراق المدعومة بأصول عقارية، وما يتطلبه إغلاق الالتزام.
- القدرة على بناء نموذج مالي والدفاع عنه، والثقة في حساب العائد على الاستثمار وهيكلة رأس المال.
- قيادة عملية جمع تمويل أو وظيفة لجمع رأس المال من قبل، بما في ذلك تقارير المستثمرين والحوكمة.
- فهم عميق لأسواق رأس المال والبيئة التنظيمية السعودية (ساما، هيئة السوق المالية).
- الإقامة الحالية في الرياض أو الاستعداد للانتقال إليها. يُفضّل المواطنون السعوديون.
- ميزة إضافية: وجود شريك محدود رئيسي أو علاقة مع مكتب عائلي يمكنه كتابة شيك أولي كبير؛ خبرة في إصدار الصكوك أو الاكتتابات الخاصة المهيكلة؛ خبرة سابقة في العمل داخل استوديو مشاريع أو منشئ مشاريع.

About The Role
We're looking for a highly experienced Capital & Finance Lead to co-found Makan and own the raising, structuring, and financial model of the business end-to-end.
This role is responsible for raising debt and equity, structuring the fund and deal mechanics, and owning investor relations from LOI through signed commitment. - Raise and structure debt and equity from funding partners.
- Own the financial model, calculating ROI and structuring the capital stack the venture needs.
- Structure term sheets, waterfalls, and fee economics with institutional investors, family offices, or LPs.
- Own investor relations: pitching, negotiating, and closing capital partners from LOI through signed commitment.
- Own the regulatory and fund pathway, from SPV to CMA-licensed fund, and all investor reporting.
- Help define and execute Makan's go-to-market and capital strategy alongside your co-founder.
- Represent the venture in front of the Sanabil Studio Investment Committee and institutional LPs.
- Recruit and lead Makan's founding team across commercial, operations, and product functions.
- You have experience raising debt and/or equity for funds, SPVs, or real-asset-backed vehicles as a fund manager, investment banker, or capital markets professional.
- You have personally structured a term sheet, waterfall, or fee economics for an institutional investor, family office, or LP.
- You understand how Saudi family offices, capitals, and banks evaluate real-asset-backed paper, and what it takes to close a commitment.
- You are comfortable building and defending a financial model, and can confidently calculate ROI and structure a capital stack.
- You have led a fundraising process or capital-raising function before, including investor reporting and governance.
- You deeply understand the Saudi capital markets and regulatory environment (SAMA, CMA).
- You are currently based in or willing to relocate to Riyadh, Saudi Arabia. Saudi Nationals preferred.
