Echelon، شركة تقنية سيادية سعودية، تبحث عن مستشار قانوني (Legal Counsel) للعمل في الرياض، السعودية. يتولى هذا الدور إدارة الأعمال القانونية اليومية للمجموعة بالتعاون مع المستشار العام والمستشارين الخارجيين، مع التركيز على العقود التجارية والشراكات والامتثال والملكية الفكرية.
المهام والمسؤوليات
- إدارة العقود التجارية والشراكات: تنفيذ اتفاقيات عدم الإفشاء، مذكرات التفاهم، أوراق الشروط، اتفاقيات الإحالة وتقاسم الإيرادات، ونطاقات العمل من المسودة الأولى إلى التوقيع، مع الحفاظ على مواقف الشركة فيما يخص الحصرية وحماية الهوامش وحق الأولوية.
- بناء القوالب والأدلة القانونية: إنشاء الأدوات القانونية المتكررة مثل اتفاقيات الإحالة للشركاء وعقود التوظيف، بحيث تُغلق معظم الملفات باستخدام وثائق قياسية.
- إدارة شؤون الشركة: تحديث القرارات، السجلات، اتفاقية المساهمين، ووثائق خطة الأسهم للشركة القابضة والشركة التشغيلية السعودية بالتنسيق مع السجل التجاري.
- شؤون التوظيف والامتثال التنظيمي: تغطية العقود والسياسات والامتثال لقانون العمل السعودي بالتعاون مع قسم الموارد البشرية، بالإضافة إلى الحدود التنظيمية المتعلقة بالبيانات والتراخيص والأنشطة التي تتطلب تصريحًا.
- حماية الملكية الفكرية: حماية الملكية الفكرية الهندسية على مستوى المجموعة، وحدود الملكية الفكرية للشركاء في كل مشروع، والملكية الفكرية المطورة لدى الشركة عند تحويلها إلى منتجات.
الشروط والمتطلبات
- درجة في القانون والقيد في نقابة المحامين (مطلوب).
- ممارسة المحاماة في السعودية أو خبرة سعودية واسعة في مجال التكنولوجيا أو الأعمال التجارية أو الأعمال المؤسسية.
- إتقان الصياغة القانونية باللغة الإنجليزية؛ اللغة العربية ميزة قوية.

- سرعة التعلم: القدرة على إعادة أداة قانونية غير مألوفة (مثل خطة أسهم أو مذكرة تفاهم دفاعية) كمسودة قابلة للتنفيذ وليس كقائمة أسئلة.
- الملكية والوتيرة: الملف من المسودة الأولى إلى التوقيع، تحويل ورقة الشروط إلى أيام، وتحديث السجلات المؤسسية دون الحاجة إلى تذكير.
- الحكم السليم: عملي في النقاط التجارية، ثابت في النقاط الجوهرية. رفع القضايا الصحيحة وشرحها في ثلاث جمل.

- Partner & commercial contracting: Carry NDAs, MOUs, term sheets, referral and revenue-share agreements and Scopes of Work from first draft to signature, holding Echelon’s positions on exclusivity, margin protection and first right of refusal for Frontier.
- Templates & playbooks: Build the recurring instruments, from the partner referral agreement to the employment contract, so most files close on standard paper.
- Corporate housekeeping: Keep resolutions, registers, the shareholders’ agreement and share plan documentation current for the holding company and the Saudi operating company, with the GNRC.
- Employment & regulatory: Cover contracts, policies and Saudi labour-law compliance with the People function, and the regulatory perimeter around data, licensing and clearance-bound activity.
- Intellectual property: Protect engineering IP held at group level, partner IP boundaries in every deployment, and Echelon-developed capability as it is productised.
Legal first
- Qualified: A law degree and admission to practice are required.
- Saudi practice: Practice in Saudi Arabia or substantial Saudi exposure, in technology, commercial or corporate work.
- Drafting: Fluent legal drafting in English; Arabic a strong advantage.
- Customer first: You measure your work by customer outcomes, and prioritise accordingly.
- Ownership mentality: You own outcomes end to end. When something breaks or stalls, you treat it as yours to fix.
- Clear communicator: You explain complex things simply, to every audience, and make the value of your work visible.
- Comfortable with ambiguity: You make progress with incomplete information, and you enjoy solving problems where there is no structure yet.

- Package: A base salary with housing, transport and education allowances, medical cover, and equity through the employee equity programme. Terms are shared at offer stage.
