تعلن الاتصالات السعودية عن فرصة وظيفية لمسمى خبير قوانين الشركات (Corporate Laws Expert) في مدينة الرياض.
نبذة عن الوظيفة
يتولى شاغل الوظيفة تقديم الدعم القانوني والمشورة الاستراتيجية في مجالات الاندماج والاستحواذ والاستثمارات وإعادة الهيكلة المؤسسية وحوكمة الشركات، من خلال ضمان الامتثال للأنظمة واللوائح، وإدارة المخاطر القانونية، ومراجعة وثائق الصفقات، ودعم القرارات التجارية والاستثمارية المبنية على أسس سليمة.
المهام والمسؤوليات
- المساهمة في تطوير وتنفيذ استراتيجيات ومبادرات قوانين الشركات بما يتوافق مع أهداف الشركة.
- تقديم الدعم القانوني المتخصص في مسائل قوانين الشركات وضمان التنفيذ الفعال للمسؤوليات الموكلة.
- دعم تطبيق التغييرات والتحسينات على إجراءات قوانين الشركات.
- ضمان الالتزام بالسياسات والإجراءات ومعايير الجودة في نطاق المسؤوليات الموكلة.
- إجراء الدراسات القانونية وتقديم الاستشارات المتعلقة بهيئة السوق المالية، بما يشمل الامتثال لأنظمة الأوراق المالية وأنظمة سوق الأسهم ومتطلبات الطرح العام الأولي.
- إجراء الدراسات القانونية وتقديم الاستشارات المتعلقة بوزارة التجارة، بما يشمل الدعم القانوني في حوكمة الشركات ومتطلبات التسجيل والتراخيص والممارسات التجارية.
- إجراء الدراسات القانونية وتقديم الاستشارات المتعلقة بالهيئة العامة للمنافسة، بما يشمل الامتثال لأنظمة المنافسة والرقابة على الاندماجات والممارسات المنافية للمنافسة والهيمنة السوقية.
- تحليل أثر الأنظمة المطبقة على عمليات الشركة وتقديم التوصيات القانونية ذات الصلة.
- تقديم الدعم القانوني لتأسيس شركات تابعة أو ذات أغراض خاصة، وتصفية الكيانات القائمة، وتعديل عقد التأسيس والنظام الأساسي.
- إعداد وتنسيق إصدار تفويضات الصلاحيات والوكالات الشرعية (Powers of Attorney).
- مراجعة السياسات الاستراتيجية للشركة وتقديم المدخلات القانونية لضمان توافقها مع الأنظمة واللوائح المطبقة.
- التنسيق مع مكاتب المحاماة المحلية والدولية في المسائل المتعلقة بنظام الشركات وأنظمة هيئة السوق المالية والهيئة العامة للمنافسة وغيرها من الأنظمة ذات الصلة.
- مراجعة ومتابعة التعديلات على الوثائق التأسيسية للشركة لضمان الامتثال القانوني.
- إعداد ومتابعة تقديم قرارات الجمعية العامة غير العادية عبر بوابة وزارة التجارة.
- تقديم التوجيه والدعم الفني لأعضاء الفريق من المستوى الأدنى عند الحاجة.
- دعم تحقيق أهداف الفريق من خلال التنفيذ الفعال للمسؤوليات والمخرجات الموكلة.
الشروط والمتطلبات
- سنوات الخبرة: من 6 إلى 8 سنوات.
- طبيعة الخبرة: يُفضّل وجود خبرة سابقة في الاستشارات القانونية في قطاع الاتصالات.
- المؤهل العلمي: بكالوريوس في إدارة الأعمال أو القانون.
- مؤهلات إضافية: شهادات مهنية (Certifications).
- المستوى الوظيفي (Job Band): SME.

Job Responsibility
Strategic and Functional Responsibilities
- Contributes to the development and implementation of Corporate Laws strategies and initiatives in alignment with the company’s objectives.
- Provides specialized legal support and expertise in Corporate Laws matters, ensuring effective execution of assigned responsibilities.
- Supports the implementation of changes and improvements within Corporate Laws processes.
- Ensures compliance with organizational policies, procedures, and quality standards within the scope of assigned responsibilities.
- Conducts legal studies and provides consultations related to:
- Capital Market Authority (CMA): Advises on compliance with applicable CMA regulations, including securities laws, stock market regulations, and IPO requirements.
- Ministry of Commerce (MoC): Provides legal support on corporate governance, registration requirements, licensing, and trade practices.
- General Authority for Competition (GAC): Advises on compliance with competition laws, including merger control, anti-competitive practices, and market dominance.
- Analyzes the impact of applicable regulations on the company’s operations and provides relevant legal recommendations.
- Provides legal support for establishing new subsidiaries/SVs, liquidating existing entities, and amending Articles of Association and Bylaws.
- Prepares and coordinates the issuance of delegations of authority and Powers of Attorney (PoAs).
- Reviews and provides legal input on the company’s strategic policies to ensure compliance with applicable laws and regulations.
- Coordinates with local and international law firms on legal matters related to Company Law, CMA regulations, GAC, and other relevant laws and regulations.
- Reviews and follows up on amendments to the company’s constitutional documents to ensure legal compliance.
- Prepares and follows up on the submission of Extraordinary General Assembly resolutions through the Ministry of Commerce portal.
- Provides guidance and technical support to junior team members, where applicable.
- Supports the achievement of team objectives through effective execution of assigned responsibilities and deliverables.
